Welcome to The Hours Collective.  The terms "we", "us" and "our" refer to The Hours Collective, LLC and its affiliates (collectively "The Hours Collective").  The Hours Collective operates this store and website (the "Site"), including all related information, content, features, tools, products and services in order to provide you, the customer, with services which include but are not limited to purchasing products from us (the "Services").

By visiting, interacting with, or using this Site and/or the Services, you agree to comply with and be bound by the following terms and conditions of use.  Please review these terms and conditions carefully.  If you do not agree to these terms and conditions, you should not use or access this Site or the Services.

1. Agreement.  This Terms of Service agreement (the "Agreement") specifies the Terms of Service for access to and use of the Site and the Services and describes the terms and conditions applicable to your access of and use of the Site and/or the Services.  This Agreement may be modified at any time by any time by The Hours Collective upon posting of the modified Agreement.  Any such modifications shall be effective immediately.  You can view the most recent version of these terms at any time at https://hoursco.com/policies/terms-of-service.  Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement.  
2. Privacy.  Your visit to our Site is also governed by our Privacy Policy.  Please review our Privacy Policy at https://hoursco.com/policies/privacy-policy.
3. Ownership.  All content included on this Site is and shall continue to be the property of The Hours Collective or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights.  Any copying, redistribution, use or publication by you of any such content or any part of the Site is prohibited, except as expressly permitted in this Agreement.  Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of this Site.
4. Intended Audience.  This Site is intended for adults only.  By agreeing to this Agreement, you represent that you are at least the age of majority in your jurisdiction of residence, and you have given us your consent to allow any of your minor dependents to use the Site on devices you own, purchase or manage.
5. Intellectual Property.  Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by The Hours Collective, its affiliates or licensors and are protected by U.S. and foreign patent, copyright and other intellectual property laws.  Except as expressly provided herein, nothing in this Agreement grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of The Hours Collective or any third-party.  Unauthorized use of the Services may be a violation of applicable intellectual property laws.  All rights not expressly granted herein are reserved by The Hours Collective.  
6. Site Use.  The Hours Collective grants you a limited, revocable, nonexclusive license to use this Site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use and subject to the terms in Exhibit A attached hereto.  You agree not to copy materials on the Site, reverse engineer or break into the Site, or use materials, products, or services in violation of any law.  The use of this Site is at the discretion of The Hours Collective and we may terminate your use of this Site at any time.  
7. Compliance with Laws.  You agree to comply with all applicable laws regarding your use of the Site and the Services.  You further agree that information provided by you is truthful and accurate to the best of your knowledge.
8. Indemnification.  You agree to indemnify, defend, and hold harmless The Hours Collective and its partners, employees, and affiliates, from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of the Site and/or the Services.
9. Disclaimer.  THE INFORMATION ON THIS SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.  YOU AGREE THAT USE OF THIS SITE IS AT YOUR SOLE RISK.  THE HOURS COLLECTIVE DISCLAIMS ALL WARRANTIES OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY EXPRESS WARRANTIES, STATUTORY WARRANTIES, AND ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  TO THE EXTENT YOUR JURISDICTION DOES NOT ALLOW LIMITATIONS ON WARRANTIES, THIS LIMITATION MAY NOT APPLY TO YOU.  YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SITE AND/OR THE SERVICES SHALL BE TO DISCONTINUE USING THE SITE AND THE SERVICES.
10. Limitation of Liability.  UNDER NO CIRCUMSTANCES SHALL THE HOURS COLLECTIVE BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THE SITE, YOUR SITE USE, THE CONTENT, OR THE SERVICES INCLUDING ANY PRODUCTS PROCURED USING THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  YOUR SOLE AND EXCLUSIVE REMEDY RELATING TO YOUR USE OF THE SITE AND/OR THE SERVICES SHALL BE TO DISCONTINUE USING THE SITE AND THE SERVICES. You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion of certain damages.  If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.
11. Use of Information.  The Hours Collective reserves the right, and you authorize us, to use and assign all information regarding site uses by you and all information provided by you in any manner consistent with our Privacy Policy.
12. Copyrights and Copyright Agent.  If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent: (i) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest; (ii) A description of the copyrighted work that you claim has been infringed; (iii) A description of where the material that you claim is infringing is located on the Site; (iv) Your address, telephone number, and email address; (v) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (vi) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.  Our Copyright Agent for notice of claims of copyright infringement on the Site is Kina Grbic-Roig, who can be reached at kina@hoursco.com or by mail at 1968 S Coast Hwy, Suite 173, Laguna Beach, CA 92651.
13. Applicable Law.  To the maximum extent permitted by law, you agree that the laws of the state of New York, without regard to conflicts of laws provisions will govern this Agreement and any dispute that may arise between you and The Hours Collective.
14. Severability.  If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the maximum extent necessary so that this Agreement will otherwise remain in full force and effect.
15. Waiver.  The failure of The Hours Collective to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.  Any waiver of this Agreement by The Hours Collective must be in writing and signed by an authorized representative.
16. Termination.  The Hours Collective may terminate this Agreement (or any part thereof) in our sole discretion and at any time, with or without notice.
17. Survival.  All indemnification, confidentiality, intellectual property, governing law, dispute resolution, limitation of liability and other clauses including those provisions which by their terms contemplate survival shall survive the termination or expiration of the Agreement regardless of the cause of such termination.
18. Relationship of the Parties.  Nothing contained in this Agreement or your use of the Site and the Services shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such.  Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.
19. Entire Agreement.  This Agreement constitutes the entire agreement between you and The Hours Collective and governs the terms and conditions of your use of the Site and the Services, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and The Hours Collective with respect to this Site and the Services.  Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy), guidelines, or rules that may apply when you use the Site and/or the Services.  The Hours Collective may revise these terms and conditions at any time by updating this Agreement and posting it on the Site.  Accordingly, you should visit the Site and review the terms and conditions periodically to determine if any changes have been made.  Your continued use of the Site after any changes have been made to the terms and conditions signifies and confirms your acceptance of any such changes or amendments to the terms and conditions.  Any ambiguities in the interpretation of this Agreement shall not be construed against the drafting party.
20. Assignment.  You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these terms and conditions without our prior written consent, and any such attempt will be null and void.  We may transfer, assign, or delegate the Agreement and our rights and obligations without consent or notice to you.
21. Headings.  The headings used in the Agreement are included for convenience only and will not limit or otherwise affect the Agreement.

Exhibit A

Service Terms

This Exhibit A to the Terms of Service sets forth further Service-specific terms and conditions that may apply to your use of the Services.  Capitalized terms not defined herein shall have the meanings assigned to them in the Terms of Service.

1. Account.  In order to use the Services, including accessing or browsing our online stores or purchasing any of the products or services we offer, you may be asked to create an account and/or provide certain information, such as your email address, billing, payment, and shipping information ("Account").  You represent and warrant that all the information you provide in our stores is correct, current and complete and that you have all rights necessary to provide this information.  You are solely responsible for maintaining the security of your Account credentials and for all of your Account activity, and you agree to accept responsibility for all activities that occur under your Account.  You may not transfer, sell, assign, or license your Account to any other person or entity.  You acknowledge that The Hours Collective is not responsible for third-party access to your Account that results in theft or misappropriation of your Account.  The Hours Collective reserves the right to refuse or cancel service, suspend or terminate accounts, or remove or edit content in our sole discretion.
2. Products.  We have made reasonable efforts to accurately represent our products on our Site.  Despite our efforts, the information provided may occasionally be inaccurate, incomplete, or out-of-date.  We have made every effort to display as accurately as possible the color of our products.  Please note that colors or product appearance may differ from how they may appear on your screen due to the type of device you use to access our website and your device settings and configuration.  We do not warrant that the appearance or quality of any products or services purchased by you will meet your expectations or be the same as depicted or rendered on our Site.  Certain weights, measures, and similar descriptions are approximate and are provided for convenience purposes only.  All descriptions of products are subject to change at any time without notice at our sole discretion.  We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.
3. Orders.  When you place an order, you are making an offer to purchase.  Please review your order carefully before submitting, as The Hours Collective may be unable to accommodate cancellation requests after an order is accepted.  Unless explicitly agreed in writing, you represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.  We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by unauthorized dealers, resellers, or distributors.
4. Payment.  You agree to provide us with current, complete, and accurate purchase and Account information for all purchases made on our Site.  You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.  You represent and warrant that: (i) the credit card information you provide is true, correct, and complete; (ii) you are duly authorized to use such credit card for the purchase; (iii) charges incurred by you will be honored by your credit card company; and (iv) you will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any.  The Hours Collective uses a third-party payment processor (the "Payment Processor") to handle credit card transactions.  The processing of payments will be subject to the terms, conditions, and privacy policies of the Payment Processor in addition to these terms.  The Hours Collective is not responsible for errors by the Payment Processor.  By utilizing the Services, you agree to pay us, through the Payment Processor, in accordance with the applicable payment terms.  Prices, discounts and promotions are subject to change without notice.  The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email.  Unless otherwise expressly stated, posted prices do not include taxes, shipping, handling, customs or import charges.   Prices posted in our online stores may be different from prices offered in physical stores or in online or other stores operated by third parties.  We may offer, from time to time, promotions on the Services that may affect pricing and that are governed by terms and conditions separate from this Agreement.  If there is a conflict between the terms for a promotion and this Agreement, the promotion terms will govern.
5. Confirmation.  Your order is not accepted until The Hours Collective confirms acceptance.  We must receive and process your payment before your order is accepted.  In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the email, billing address, and/or phone number provided at the time the order was made.  While it is our practice to confirm online orders via email, the receipt of an email order confirmation does not constitute our acceptance of an order nor our confirmation of an offer to sell a product or service.  We reserve the right, without prior notice and at any time: (i) to limit the order quantity on any product or service and/or refuse fulfillment of any order to any customer; (ii) to discontinue any product or service; (iii) to bar any user from making or completing a transaction; and (iv) to limit or impose conditions on the honoring of any coupon, coupon code, promotional code, or other similar promotion.  We may also require additional information and/or verification of information prior to the acceptance and/or shipment of any order.  Partial shipment or partial cancellation of orders may occur.
6. Shipping and Delivery.  We are not liable for shipping and delivery delays caused by shipping carriers, customs processing, or events outside our control.  All delivery times are estimates only and are not guaranteed.  Due to the natural ingredients in our candle products, we make every attempt to delay shipping during extreme heat.  Despite our best efforts, our candle products may partially melt during shipping.  Please move candles to a climate controlled environment upon delivery to allow them to re-harden.
7. Refunds.  All of our products are carefully inspected before they are shipped.  We only offer refunds for damaged goods and incorrect items.  We do not offer refunds on orders where the shipping carrier states it has been delivered.  We will replace or refund products damaged during shipment if photographic evidence of damage is submitted to us at hello@hoursco.com within seven (7) days of delivery.  We will replace any incorrect items you received if photographic evidence of the incorrect item is submitted to us at hello@hoursco.com within fourteen (14) days of delivery.  
8. Third-Party Services.  You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.  You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations or conditions of any kind and without any endorsement.  We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.  Any use by you of the optional tools offered through our Site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).  Additionally, the Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third-party functionality) that are not owned or controlled by The Hours Collective.  We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access.  If you decide to leave our Site to access these materials or third-party sites, you do so at your own risk.  We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites.  Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction.  Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.
9. Security.  We use commercially reasonable administrative, physical, and electronic measures designed to safeguard and protect your personal information and our Site, content, materials, and data.  As unauthorized third parties may use your personal information for improper purposes, you acknowledge that you provide your personal information at your own risk.
10. Feedback.  If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use.  We may, for example, use our rights under this license to operate, provide, evaluate, enhance, improve and promote the Services and to perform our obligations and exercise our rights under this Agreement.  You also represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these terms.  We are and shall be under no obligation to to maintain your Feedback in confidence, pay compensation for your Feedback, or respond to your Feedback.  You agree that your Feedback will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right.  You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive or obscene Feedback, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website.  You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any Feedback.  You are solely responsible for any Feedback you make and its accuracy.  We take no responsibility and assume no liability for any Feedback posted by you or any third-party.  We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or this Agreement.
11. Errors.  Occasionally there may be information on or in our Site and/or Services that contain typographical errors, inaccuracies or omissions that may relate to, but are not limited to, product descriptions, pricing, promotions, offers, product shipping charges, transit times, and availability.  We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).  Notwithstanding the above, we are under no obligation to update, amend, or clarify information in the Site or on any related website, including without limitation, pricing information, except as required by law.
12. Prohibited Uses.  You may access and use the Services for lawful purposes only.  You may not access or use the Services, directly or indirectly: (i) for any unlawful or malicious purpose; (ii) to violate any international, federal, provincial, state, or local regulations, rules, laws, or ordinances; (iii) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (iv) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (v) to transmit false or misleading information; (vi) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with this Agreement; (vii) to transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation; (viii) to impersonate or attempt to impersonate any other person or entity; or (ix) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site and/or Services, or which, as determined by us, may harm The Hours Collective, our third-party service providers, or users of the Site and/or Services, or expose them to liability.  In addition, you agree not to: (i) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Site; (ii) reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site; (iii) collect or track the personal information of others; (iv) spam, phish, pharm, pretext, spider, crawl, or scrape; (v) interfere with or circumvent the security features of the Site or any related website, other websites, or the Internet; or (vi) take any action that imposes, or may impose at our sole discretion an unreasonable or disproportionately large load on our infrastructure.  We reserve the right to suspend, disable, or terminate your Account at any time, without notice, if we determine that you have violated any part of these terms.
13. International Users.  The Site is controlled, operated, and administered by The Hours Collective from the United States of America (the "US").  If you access the Site from a location other than the US, you are responsible for compliance with your jurisdiction's applicable laws.  You agree that you will not use The Hours Collective content accessed through the Site in any country or in any manner prohibited by any applicable laws, restrictions, or regulations.
14. Electronic Communications.  Visiting the Site or sending emails to us constitutes electronic communications.  You consent to receive electronic communications and you agree that all agreements, notices, disclosures, and other communications that we may provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.
